What you own when it ships — and who can change it next

The two questions that separate a safe vendor from an expensive lesson: is the IP assignment clean, and is the code something another team could pick up? Insist on work-for-hire terms, a source repository you control from day one, and readable documentation as a deliverable, not a favour. Ask for a source-escrow clause if the vendor is small. A beautiful system you can only maintain by re-hiring the original team is a subscription with extra steps.

When should I NOT build custom software?

When an off-the-shelf tool already fits your process closely, when the feature you need is on a SaaS vendor's near-term roadmap, or when you can't commit to the ~15–25%/year maintenance a live system needs. Custom is an advantage only where your process is the advantage.

Who owns the code, and can another team maintain it?
